Terms of Service

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND INSTRUCTORHUB (COLLECTIVELY THE “PARTIES”).

BY SIGNING UP TO INSTRUCTORHUB, OR BY STARTING OR PAYING FOR A SUBSCRIPTION THROUGH THE SERVICES, YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION.

1. Definitions and Agreement

1.1 Definitions

“InstructorHUB,” “we,” “us,” and “our” refer to InstructorHUB, a product of Studio Lab Software, and its related entities.

“You” and “your” refer to the individual, studio, or entity accessing or using the Services.

“Services” refers to all InstructorHUB online services, software, products, modules, features, documentation, updates, and enhancements, including the studio admin application and the instructor portal.

“Subscription” refers to the recurring monthly fee for a standalone InstructorHUB account, described in clause 6.1.

“StudioLAB-Connected Studio” refers to a studio whose InstructorHUB account is linked to a StudioLAB platform subscription, as described in clause 6.4.

1.2 Agreement

These Terms of Service constitute the entire agreement between the parties regarding access to and use of the Services. This Agreement incorporates by reference the following documents published on the InstructorHUB website:

  • Privacy Policy
  • Feature specific terms and third party terms applicable to payment processing, messaging, integrations, and hosting services
  • Any additional online ordering, activation, or payment terms presented at the time of sign-up, subscription, or feature enablement

Use of the Services constitutes acceptance of all such documents and amendments.

2. Ordering and Provision of Services

InstructorHUB may provide access to the Services following completion of the online sign up process. All sign-ups are subject to acceptance at InstructorHUB’s sole discretion. InstructorHUB may refuse any sign-up or onboarding request without providing a reason.

3. Account Security and Responsibility

You are solely responsible for maintaining the confidentiality and security of your login credentials. Any activity conducted under your account is deemed to have been carried out with your authority. You acknowledge that it is your responsibility to evaluate whether the security practices of InstructorHUB and its suppliers meet your business requirements.

4. License and Permitted Use

4.1 Limited License

Subject to compliance with this Agreement, InstructorHUB grants you a personal, revocable, non exclusive, non transferable, non sublicensable license to access and use the Services solely for your internal business operations (running your studio’s teaching timetable, timesheets, pay runs, staff compliance records, and instructor portal).

4.2 Prohibited Use

You must not, whether directly or indirectly:

  • Allow any unauthorized third party to access the Services using your account
  • Copy, reproduce, modify, adapt, translate, create derivative works, reverse engineer, decompile, or disassemble any part of the Services
  • Sell, resell, distribute, lease, rent, or host the Services for third party use
  • Use the Services in a manner that violates any applicable law or regulation
  • Attempt to circumvent security, authentication, or access controls
  • Use the Services to process data for unrelated third party businesses or external commercial use

Violation of this clause constitutes grounds for immediate termination.

5. Ownership and Intellectual Property

5.1 InstructorHUB Property

All intellectual property rights in the Services, including but not limited to software, workflows, databases, trademarks, documentation, and designs, are owned exclusively by InstructorHUB. No rights or interests are transferred to you under this Agreement.

5.2 Third Party Licenses

The Services may incorporate third party software or dependencies, including Stripe for payment processing. You agree to comply fully with any applicable third party license or service terms. InstructorHUB may suspend your access if a third party alleges non compliance.

5.3 Your Data

This Agreement does not grant InstructorHUB ownership of your content or your staff and business data, including your timetable, staff, timesheet, and pay records. You grant InstructorHUB a limited license to store, process, and use your data solely for the purpose of providing the Services.

6. Fees, Billing, and Payment Terms

6.1 Subscription Fee

A standalone InstructorHUB account is provided for a recurring monthly Subscription fee. The fee is US$9.95 per month for the first 12 months of a standalone account, and US$19.95 per month thereafter. The Subscription covers every staff member, every pay run, and every feature; there are no per-seat add-ons or tiers. Pricing is advertised in US dollars and may be updated from time to time in accordance with clause 15.

6.2 Billing and Currency

Subscription fees are billed monthly in advance through our payment provider, Stripe, to the payment method on your account. You are charged in your local currency, converted from the US dollar price at the exchange rate applying on the day of each payment, so the local amount may vary between billing periods while the US dollar figure remains the same. Where tax such as GST applies in your jurisdiction, it is shown on your Subscription invoice based on where your studio is located. This tax relates to your InstructorHUB Subscription only.

6.3 Staff Pay and Bookkeeping

InstructorHUB helps you calculate and record what you pay your own staff by surfacing gross pay figures and an employer-contribution estimate, and by producing a bookkeeping-ready export file. InstructorHUB does not calculate, withhold, lodge, or remit any tax on your staff pay, does not make payments to your staff, and does not operate as a payroll bureau or a tax agent. The employer-contribution figure is an estimate for your reference only. You remain solely responsible for your own payroll obligations, including the correctness of pay, tax, employer contributions, and all filings and payments to staff and authorities, and for obtaining your own professional advice. Any export or figure produced by the Services is provided for your bookkeeping and does not constitute tax, accounting, or legal advice.

6.4 StudioLAB-Connected Studios

If your studio is a StudioLAB-Connected Studio, no standalone Subscription fee applies; InstructorHUB is included as part of your StudioLAB platform arrangement under your separate StudioLAB Terms of Service. If a standalone account is later connected to StudioLAB, the standalone Subscription ceases from the point of connection.

6.5 Accuracy of Payment Information

You must keep your payment details current. InstructorHUB is not responsible for suspension or loss of access caused by inaccurate or out of date payment information.

6.6 Non Payment

If a Subscription payment fails or is not made when due, InstructorHUB may suspend or limit access to the Services until the outstanding amount is paid. Amounts already due remain payable.

6.7 Records

InstructorHUB’s transaction records constitute prima facie evidence of the amounts charged.

7. Privacy and Data Protection

You agree to the InstructorHUB Privacy Policy. You acknowledge that you are solely responsible for providing your own privacy disclosures to your staff and instructors and for complying with applicable privacy laws. InstructorHUB may aggregate de identified data for statistical, analytical, or product improvement purposes.

8. Content and Acceptable Use

You are responsible for all content entered or uploaded into the Services, including staff names, pay rates, hours, compliance documents, and timetable details. You must maintain backup copies of your data. You must not upload or transmit:

  • Illegal, offensive, harmful, infringing, or misleading content
  • Malware, viruses, or harmful code
  • Content for which you lack lawful rights

InstructorHUB may remove content, suspend access, or disclose information where required to comply with legal obligations or protect the integrity of the Services.

9. Warranties and Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” InstructorHUB does not guarantee uninterrupted operation or error free performance. InstructorHUB disclaims all implied warranties except where non excludable under Australian Consumer Law.

10. Limitation of Liability

To the maximum extent permitted by law, InstructorHUB is not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages including business interruption, lost revenue, lost profits, loss of data, reputational loss, or any error in pay, tax, or employer contributions arising from your own payroll decisions.

If liability cannot legally be excluded, InstructorHUB’s total liability is limited to the aggregate Subscription fees paid by you in the preceding twelve months.

Nothing in these Terms excludes rights or remedies available under the Competition and Consumer Act 2010 (Cth).

11. Your Warranties

You warrant that:

  • You have full authority to enter into this Agreement on behalf of your studio
  • All information provided to InstructorHUB is accurate and will remain updated
  • Your data and content do not infringe the rights of any third party
  • You will comply with all applicable laws in connection with your use of the Services, including employment, payroll, and tax laws relevant to your staff

12. Indemnity

You indemnify InstructorHUB and its officers, employees, contractors, and agents against all claims, liabilities, losses, damages, costs, and expenses arising from:

  • Your breach of this Agreement
  • Your misuse of the Services
  • Your violation of law or third party rights
  • Any claim made by your staff, instructors, or authorities arising out of your payroll, employment, or studio operations

InstructorHUB may assume exclusive control of any matter subject to indemnification.

13. Termination

13.1 Termination by You

You may cancel your InstructorHUB Subscription at any time through your account settings or by providing written notice to support@studiolabsoftware.com. Your Subscription remains active until the end of the current paid billing period, after which it will not renew. Fees already paid are not refundable except where required by law.

13.2 Termination by InstructorHUB

InstructorHUB may suspend or terminate your access immediately if:

  • You breach these Terms
  • You fail to pay any amount due
  • InstructorHUB reasonably suspects fraud, unlawful conduct, or misuse
  • Your use threatens the security or stability of the Services
  • Required by law, regulatory request, or third party provider constraints

13.3 Post Termination

Upon termination, all amounts owed become immediately due. You must cease using the Services. You are responsible for exporting your data before termination. InstructorHUB is not required to retain data after closure.

14. Governing Law and Jurisdiction

This Agreement is governed by the laws of New South Wales, Australia. Parties submit to the non exclusive jurisdiction of the courts of New South Wales.

15. General Provisions

  • This Agreement constitutes the entire agreement between the parties.
  • InstructorHUB may amend these Terms at any time by publishing updated terms on the website. Continued use constitutes acceptance.
  • InstructorHUB may assign its rights; you may not.
  • If any provision is invalid, the remainder continues in full force.
  • Failure to enforce any right does not constitute a waiver.
  • No third party has any rights under this Agreement.
  • InstructorHUB may subcontract or outsource any part of the Services.
  • You must comply at all times with all applicable laws.
  • InstructorHUB may provide information to law enforcement upon lawful request.
